1. Subject matter
You recommend Synadesk (a product of NeuraTech AG) and in return receive a commission under your partner agreement (standard 20 %) on the recurring subscription business of the customers you refer: on every paid subscription and quota invoice (net, excl. VAT), as long as the customer subscription and your participation in the partner programme are active, but for no longer than 60 months (5 years) from the respective customer's first commission-eligible invoice.
One-time setup and service invoices are not commission-eligible – for example the guided initial setup or the connection of your systems. Such items compensate effort and do not count towards the referred subscription business.
NeuraTech AG concludes the contract directly with the customer and issues the invoice. You sell nothing on your own account and carry no collection risk.
2. Referral without an ongoing agency mandate
You act as an independent intermediary. There is no ongoing engagement in the sense of an agency agreement and no authority to conclude contracts: you may not enter into contracts in the name of NeuraTech AG, promise prices or make binding declarations.
You are free in your choice of means and time and owe no minimum revenue.
3. Self-employment, taxes and social insurance
You carry out the referral activity as a self-employed person and account for taxes, social contributions – AHV (Swiss social insurance), IV and EO – and any VAT yourself. NeuraTech AG owes no social insurance contributions on the commission.
Before the first payout, a one-time verification of your payout identity is required: either as a company (company name and UID, the Swiss business identification number) or as a natural person with a confirmation of self-employed status from your AHV compensation office. NeuraTech AG may request this proof and withhold payouts until verification. Commissions already earned do not lapse as a result.
4. Payout and self-billing
Payouts are made manually by bank transfer, around 60 days after the customer invoice is paid and once your balance reaches CHF 100. Smaller amounts stay put and grow until the next payout.
NeuraTech AG itself issues a credit note for every payout (self-billing) and shows VAT only if you have stored a VAT number. You do not need to invoice NeuraTech AG.
5. Fair dealing and abuse
Prohibited are self-referrals to obtain commission, misleading advertising, unsolicited bulk emails (spam), misuse of trademarks or names, and promises that NeuraTech AG does not cover. In cases of abuse, the affected commissions may be forfeited.
6. Termination and changes
Either side may end participation in the partner programme at any time with effect from the end of the month. Commissions earned and already verified by then remain in place and are paid out.
NeuraTech AG may adjust these terms and the conditions for the future. Material changes are announced in advance; continued use of the partner area counts as acceptance of the then-current version.
