1. Subject matter
You recommend Synadesk (a product of NeuraTech AG) and in return receive a commission under your partner agreement (standard 20 %) on the recurring subscription business of the customers you refer: on every paid subscription and quota invoice (net, excl. VAT), as long as the customer subscription is active, but for no longer than 60 months (5 years) from the respective customer's first commission-eligible invoice. The commission window starts only once per customer and does not restart after an interruption or a later return of the customer subscription.
One-time setup and service invoices are not commission-eligible – for example the guided initial setup or the connection of your systems. Such items compensate effort and do not count towards the referred subscription business.
NeuraTech AG concludes the contract directly with the customer and issues the invoice. You sell nothing on your own account and carry no collection risk. The programme covers CH, DE, AT, FR and IT without territory exclusivity. Customers register, test, configure and subscribe online themselves. Partner services remain optional; referrals do not commission personal sales follow-up or free setup by Synadesk. Language, establishment country, invoice currency and tax treatment are assessed separately.
2. Attribution of referred customers
A referral is attributed when the customer account is first registered with Synadesk. Priority is given to a valid partner code of an active partner submitted during registration. This may be submitted, in particular, through a partner link, a QR code or by entering the partner code.
If no valid partner code of an active partner is provided, the most recent still-open, unexpired invitation from an active partner to the email address used for registration is decisive. A valid partner code therefore takes precedence over attribution based solely on an email invitation. If neither condition is met, no automatic partner attribution takes place.
Existing customer accounts are neither attributed retroactively nor reassigned to another partner by a later link visit, subsequent code entry or further invitation. Expressly agreed individual attributions remain reserved. Suspected recording errors may be reported to NeuraTech AG for review with verifiable supporting evidence; legitimate claims are not excluded by a technical recording error.
Attribution alone does not establish a right to a payout. Commission-eligible invoices and the other requirements of these terms remain decisive.
3. Referral without an ongoing agency mandate
You act as an independent intermediary. There is no ongoing engagement in the sense of an agency agreement and no authority to conclude contracts: you may not enter into contracts in the name of NeuraTech AG, promise prices or make binding declarations.
You are free in your choice of means and time and owe no minimum revenue.
4. Self-employment, taxes and social insurance
You organise your referral activity on your own responsibility. You fulfil the tax, social insurance and any value added tax obligations incumbent on you under applicable law. Whether the specific activity qualifies as self-employment for social insurance purposes is assessed by the competent authority (in CH the compensation office) on the basis of the actual circumstances. The designation in these terms does not replace that assessment. Statutory contribution, accounting and reporting obligations of NeuraTech AG remain unaffected.
Before the first payout, identity, business status and independent activity are manually verified. Legal entities submit company name, address and company/register number. Natural persons, including sole proprietors, need evidence of independent status for the referral activity concerned: from the competent compensation office in CH, or the competent authority under local law in DE/AT/FR/IT. Examples include business registration/register (DE), GISA (AT), an RNE extract with SIREN/SIRET (FR) and Visura camerale (IT). A name, number or register extract alone does not always establish independent activity or tax status; further evidence may be required.
You inform NeuraTech AG of changes affecting these details or your status. NeuraTech AG may request supplementary evidence and withhold payouts until the necessary clarification. Commissions already earned do not lapse as a result. Mandatory statutory obligations remain unaffected during this clarification as well.
5. Payout and self-billing
Payouts are manual bank transfers, separately in the invoice currency CHF or EUR, around 60 days after payment of the customer invoice, from a balance of CHF 100 or EUR 100 per currency. Balances in different currencies are neither added nor converted. Smaller balances remain outstanding.
If a customer invoice is fully or partially reversed, for example through a refund or chargeback, the commission attributable to it lapses insofar as it has not yet been paid out. The payout delay of around 60 days serves, among other things, to settle such cases.
Commissions already properly paid out will neither be reclaimed nor offset against future commissions solely because of a subsequent refund or chargeback of the customer invoice. Claims for repayment due to abuse under clause 6 or due to erroneous or duplicate payouts remain reserved.
Partners established in Switzerland agree in advance to self-billing: NeuraTech AG prepares the invoice for your referral service on your behalf. Tax treatment and any VAT charge are explicitly reviewed; a VAT number alone is insufficient. Review every credit note and send objections or corrections with its number to hello@synadesk.ai. Objections are handled manually; mandatory statutory effects of an objection remain unaffected. Partners established in DE/AT/FR/IT instead issue their own invoice per currency and submit it in the partner area. After review of supplier, service, amount, currency and tax treatment, the manual payment is recorded. The resulting settlement receipt is not a tax invoice issued by NeuraTech. Unresolved tax questions block payment, not the earned commission claim.
6. Fair dealing and abuse
Prohibited are self-referrals to obtain commission, misleading advertising, unsolicited bulk emails (spam), misuse of trademarks or names, and promises that NeuraTech AG does not cover. In cases of abuse, the affected commissions may be forfeited.
7. Termination and changes
Either side may end participation in the partner programme at any time with effect from the end of the month. Termination ends active referring. Eligible former partners with active login membership retain settlement-only access to their payout profile, own invoices and documents; new referrals and invitations are excluded. The commissions for the customers you have referred up to that point, however, continue to run until the end of the respective commission window and continue to be paid out; clause 6 remains reserved. After the last commission window has expired, any remaining balance is paid out regardless of the minimum amount.
NeuraTech AG may adjust these terms and the conditions for the future. Material changes are announced in advance; continued use of the partner area counts as acceptance of the then-current version.
8. Final provisions
Individually agreed conditions in your partner agreement take precedence over these terms. The processing of your partner data (such as contact and payout details) is governed by NeuraTech AG's privacy policy.
These terms are available in several languages; the German version is legally authoritative.
Swiss law applies. The place of jurisdiction is the registered office of NeuraTech AG; mandatory statutory places of jurisdiction remain reserved.
Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
